Terms and Conditions

Effective Date: 07/31/26

These Terms and Conditions govern services provided by Strong Tines Marketing DBA Electricians Edge (“Agency,” “we,” or “us”) to the purchasing customer (“Client”). By signing a proposal, paying an invoice, or authorizing work, Client agrees to these terms.

Services

The Agency will provide the marketing services described in the applicable proposal, order form, statement of work, or invoice. Any work outside the agreed scope may require additional fees and written approval.

No Guarantee of Results

Client acknowledges that marketing results depend on many factors outside the Agency’s control, including market conditions, competition, platform algorithms, advertising budgets, Client responsiveness, pricing, reputation, sales processes, and customer demand.

The Agency does not guarantee any specific number of leads, sales, customers, appointments, rankings, views, followers, revenue, return on investment, or other results. Forecasts, projections, examples, case studies, and past performance are illustrative only and are not promises of future performance.

Client Responsibilities

Client agrees to:

  • Provide accurate information, materials, account access, approvals, and feedback reasonably needed to perform the services.
  • Respond to approval requests within three business days.
  • Verify that all claims about its products, services, pricing, licensing, and qualifications are truthful and adequately supported.
  • Obtain necessary permissions for customer lists, photographs, testimonials, trademarks, and other supplied materials.
  • Comply with applicable advertising, privacy, telemarketing, email, text-message, and industry-specific laws.

The Agency may rely on information and approvals supplied by Client. Delays caused by Client do not extend payment deadlines and may affect delivery schedules or results.

Fees and Payment

Fees, deposits, recurring charges, advertising budgets, and payment schedules will be stated in the applicable proposal or invoice. Unless otherwise stated:

  • Payments are nonrefundable once work has begun.
  • Invoices are due within 15 days.
  • Overdue amounts may accrue interest at the lesser of 1.5% per month or the maximum lawful rate.
  • The Agency may pause services and withhold deliverables when an account is overdue.
  • Advertising spend, software subscriptions, printing, stock assets, and third-party expenses are separate unless expressly included.
  • Client remains responsible for approved recurring fees until cancellation becomes effective.

Third-Party Platforms

The Agency may use third-party platforms such as Google, Meta, TikTok, LinkedIn, hosting providers, AI tools, and advertising networks. The Agency is not responsible for platform outages, policy changes, account suspensions, algorithm changes, rejected advertisements, data loss, price increases, or other third-party actions beyond its reasonable control.

Client is responsible for complying with the terms and policies of platforms used for its campaigns.

Intellectual Property

Client retains ownership of materials it provides. Upon full payment, Client receives ownership of final custom deliverables specifically created for Client, excluding:

  • Agency templates, methods, systems, prompts, processes, software, and know-how.
  • Licensed fonts, stock media, music, software, and third-party materials.
  • Unused concepts, drafts, and working files unless otherwise agreed.

The Agency retains the right to reuse general knowledge, methods, and nonconfidential elements developed while performing the services.

Portfolio Use

Unless Client objects in writing, the Agency may identify Client as a customer and display completed, publicly released work in its portfolio, website, social media, proposals, and case studies. Confidential information and nonpublic performance data will not be disclosed without permission.

Confidentiality

Each party will protect the other party’s nonpublic business, technical, financial, and customer information and use it only to perform or receive the services. This obligation does not apply to information already public, independently developed, lawfully received from another source, or required to be disclosed by law.

Term and Cancellation

Either party may terminate ongoing services by providing 30 days’ written notice unless the applicable agreement specifies a different commitment period.

Client remains responsible for:

  • Fees incurred through the effective termination date.
  • Approved expenses and noncancelable third-party commitments.
  • Work completed or scheduled during the notice period.

The Agency may immediately suspend or terminate services for nonpayment, unlawful conduct, abusive behavior, material breach, or activity that could harm the Agency’s reputation or platform accounts.

Warranties and Disclaimers

The Agency will perform services in a professional and commercially reasonable manner. Except for this limited commitment, services and deliverables are provided “as is.” To the fullest extent permitted by law, the Agency disclaims implied warranties of merchantability, fitness for a particular purpose, and noninfringement.

Limitation of Liability

To the fullest extent permitted by law:

  • Neither party will be liable for indirect, incidental, special, punitive, or consequential damages, including lost profits, lost revenue, lost data, or lost business opportunities.
  • The Agency’s total liability arising from the services will not exceed the fees paid by Client to the Agency during the three months preceding the event giving rise to the claim.
  • These limitations do not apply where prohibited by law.

Indemnification

Client agrees to defend, indemnify, and hold harmless the Agency and its owners, employees, and contractors from claims, damages, penalties, and expenses arising from:

  • Materials, instructions, claims, or data supplied or approved by Client.
  • Client’s products, services, business practices, or legal violations.
  • Client’s misuse of deliverables or third-party platforms.
  • Allegations that Client-provided materials infringe another party’s rights.

Independent Contractor

The Agency is an independent contractor. Nothing in these terms creates an employment, partnership, franchise, fiduciary, or joint-venture relationship.

Force Majeure

Neither party is responsible for delays caused by circumstances beyond its reasonable control, including natural disasters, severe weather, internet failures, cyberattacks, labor disruptions, government actions, war, or third-party platform outages.

Governing Law and Disputes

These terms are governed by the laws of the State of Oklahoma, without regard to conflict-of-law principles. Before filing a lawsuit, the parties will attempt in good faith to resolve the dispute informally. Any legal action must be brought in the state or federal courts serving the county where the Agency’s principal office is located.

General Provisions

If any provision is found unenforceable, the remaining provisions will remain effective. A failure to enforce a provision is not a waiver. These terms, together with the applicable proposal, statement of work, and invoice, constitute the complete agreement regarding the services. If documents conflict, the signed proposal or statement of work controls.

Electronic signatures, online acceptance, and electronic records are considered valid and enforceable.
